Please read these Terms of Service ("Terms") carefully before using the https://ebflo.tech website or any services provided by EbFlo Technologies LLC ("us," "we," or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and clients ("Client," "you") who access or use our website or Services.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Description of Services

EbFlo Technologies LLC provides managed, self-hosted software solutions, including but not limited to:

  • Social Media Management ("Postiz Service"): A platform for managing, scheduling, and analyzing social media content.
  • Remote Monitoring and Maintenance ("RMM Service"): A service (utilizing Meshcentral) to monitor and maintain client-owned devices.
  • General Web Development & Hosting: Custom web solutions as agreed upon by contract.

2. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Client Responsibilities and Acceptable Use

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms.

a) General Use

You may not use the Service:

  • To reverse engineer, decompile, or disassemble any part of the Service.
  • To send spam, unsolicited messages, or other mass communications.
  • To store or transmit any content that is infringing, libelous, or otherwise unlawful or tortious.
  • To interfere with or disrupt the integrity or performance of the Service or third-party data contained therein.

b) Social Media Management (Postiz Service)

  • Compliance with Platform Terms: You are solely responsible for complying with the terms of service, community guidelines, and all other rules of the social media platforms you connect to our Service (e.g., Facebook, X (Twitter), LinkedIn, etc.).
  • Liability: We are not responsible or liable for any penalties, account suspensions, or content removals imposed on you by any social media platform, even if such action is related to your use of our Service (e.g., posting content that violates a platform's policy).

c) Remote Monitoring & Maintenance (RMM Service)

  • Consent for Monitoring: You represent and warrant that you have obtained all necessary, legally-required consents from your employees, contractors, or any end-users ("End-Users") whose devices will be monitored by our RMM Service.
  • Authorization: You authorize us to install monitoring agents on your designated devices and to access data from those devices for the sole purpose of providing the RMM Service as defined in your service agreement.

4. Fees, Payment, and Subscriptions

  • Payment: You agree to pay all fees specified in your service agreement or order form. Payment obligations are non-cancelable, and fees paid are non-refundable.
  • Subscriptions: Our Services are generally billed on a subscription basis (e.g., monthly or annually). Subscriptions will automatically renew for an additional period equal in length to the expiring subscription term, unless you provide us with written notice of non-renewal at least [e.g., 30 days] before the end of the current term.
  • Taxes: Our fees do not include any taxes, levies, duties, or similar governmental assessments, all of which are your responsibility.

5. Intellectual Property

  • Our Service: We (and our licensors, where applicable) own all right, title, and interest, including all related intellectual property rights, in and to our website, the Services, and any underlying software.
  • Your Content: You retain all ownership rights to the content you post, schedule, or manage through our Service ("Client Content"). You grant us a limited, worldwide, non-exclusive license to host, copy, transmit, and display your Client Content as necessary for us to provide the Service to you.
  • Your Data (RMM): You retain all ownership rights to the data on your devices. You grant us a limited license to access, monitor, and copy such data as necessary to perform the RMM Service.

6. Third-Party Services (Social Media APIs)

Our Postiz Service relies on integrations with third-party social media platforms via their APIs.

  • We do not control and are not responsible for these third-party platforms or their APIs.
  • We are not liable for any service interruptions, API changes, or downtime caused by these third-party platforms.
  • Your use of these platforms is governed by their own terms of service, which you are responsible for obeying.

7. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms.

8. Term and Termination

These Terms remain in effect until your subscription expires or is terminated.

  • Termination by You: You may terminate your account and these Terms by providing written notice of non-renewal as described in Section 4.
  • Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or fail to pay fees.
  • Effect of Termination: Upon termination, your right to use the Service will cease. We will make your data available for export for a period of [e.g., 30 days] after termination and will thereafter delete your data.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR C) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

10. Limitation of Liability

IN NO EVENT SHALL EBFLO TECHNOLOGIES LLC, NOR ITS DIRECTORS, EMPLOYEES, OR PARTNERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL IN NO EVENT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO US FOR THE [e.g., 12 MONTHS] PERIODIMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless EbFlo Technologies LLC and its employees, partners, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service; b) your breach of these Terms; c) your Client Content; or d) your violation of any third-party terms (including social media platform terms) or any law, rule, or regulation.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration conducted in St. Louis, Missouri, in accordance with the rules of the American Arbitration Association.

14. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between us regarding our Service.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
  • Changes: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice of any material changes.
